These Terms & Conditions (“Terms”) govern your access to and use of the PawnVault website, software platform, applications, and related services (collectively, the “Services”). “PawnVault,” “we,” “us,” and “our” mean the entity providing the Services. “Customer,” “you,” and “your” mean the business or person accepting these Terms and its authorized users.
By accessing or using the Services, you agree to these Terms. If you accept these Terms for a business or other entity, you represent and warrant that you have authority to bind that entity. If you do not agree, do not access or use the Services.
If you have a separate written agreement with PawnVault, that agreement controls to the extent it conflicts with these Terms.
1. The Services
PawnVault provides business-management software for pawn businesses. Features may include customer, inventory, loan, transaction, reporting, compliance, payment-terminal, communications, and third-party integration tools. Features, availability, and pricing may vary by plan, location, configuration, and applicable law.
The Services are business tools only. PawnVault is not a pawnbroker, lender, firearms dealer, payment processor, legal adviser, tax adviser, compliance auditor, or law-enforcement reporting agency. PawnVault does not make lending decisions, assess collateral, determine required disclosures, or guarantee regulatory compliance.
2. Eligibility and Account Security
You must be legally able to enter into a binding contract and use the Services only for legitimate business purposes. You are responsible for all activity under your account, safeguarding credentials, maintaining accurate account information, promptly removing users who no longer need access, and notifying us promptly of suspected unauthorized use or security incidents.
You may permit personnel to use the Services only as authorized users. You are responsible for their compliance with these Terms and for setting appropriate permissions, approval workflows, and authentication controls.
3. Limited License and Restrictions
Subject to your compliance with these Terms and payment of applicable fees, PawnVault grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the Services during your subscription term for your internal business operations.
You will not, and will not permit any third party to:
- copy, modify, distribute, sell, lease, sublicense, or commercially exploit the Services except as expressly permitted by us;
- reverse engineer, decompile, disassemble, or attempt to discover source code, underlying ideas, algorithms, or non-public interfaces, except where applicable law prohibits this restriction;
- circumvent access controls, rate limits, security measures, or usage restrictions;
- use the Services to violate law, infringe rights, transmit malware, interfere with the Services, or process data you are not authorized to process;
- access the Services to build or support a competing product or service; or
- use automated means to extract data from the Services except through an authorized integration or API.
4. Customer Data and Responsibilities
You retain ownership of the data, records, content, and information you or your authorized users submit to the Services (“Customer Data”). You grant PawnVault the limited rights necessary to host, process, transmit, display, maintain, secure, and support Customer Data solely to provide, protect, and improve the Services, comply with law, and enforce these Terms.
You are solely responsible for Customer Data, including its accuracy, completeness, lawfulness, collection, notices, consent, retention, and deletion. You represent that you have all necessary rights, permissions, and lawful bases to submit Customer Data to the Services and direct PawnVault to process it.
You are solely responsible for compliance with all laws applicable to your business and transactions, including pawn, lending, consumer-protection, interest and fee, recordkeeping, privacy, security, payment, tax, anti-money-laundering, firearms, identification, police-reporting, and hold-period requirements. You must independently verify all calculations, forms, reports, disclosures, due dates, and compliance outputs before relying on them. The Services may assist your operations, but they do not replace professional advice, required filings, or your independent compliance program.
5. Third-Party Services and Hardware
The Services may enable integrations with or access to third-party providers, including payment processors, terminal providers, email and SMS providers, address-autocomplete services, marketplaces, and cloud infrastructure providers. Your use of third-party services is governed by their separate terms, privacy notices, fees, and availability. PawnVault does not control and is not responsible for third-party services, hardware, interruptions, acts, omissions, charges, or data practices.
Payment transactions are processed by the applicable payment provider. You are responsible for complying with your agreements with that provider, confirming transactions, and resolving disputes, chargebacks, refunds, and customer communications as required by law and the provider's terms.
6. Fees, Taxes, and Payment
You will pay all fees stated in the applicable order form, subscription plan, invoice, or other purchasing record. Except where required by law or expressly agreed in writing, fees are non-refundable and payments are due when stated. You are responsible for all taxes, levies, duties, and similar governmental assessments associated with your purchase or use of the Services, excluding taxes based on PawnVault's net income.
We may suspend or limit access to the Services for overdue amounts after providing any notice required by law or your applicable agreement. Suspension does not waive amounts due or limit our other remedies.
7. Availability, Changes, and Support
We may update, modify, add, remove, or discontinue features of the Services. We will use commercially reasonable efforts to maintain the Services, but do not guarantee uninterrupted, error-free, secure, or available operation at all times. Planned or emergency maintenance, telecommunications failures, internet disruptions, third-party outages, security events, and events outside our reasonable control may affect availability.
You are responsible for maintaining internet access, compatible devices and browsers, local records, and backup procedures appropriate for your business. You should not rely on the Services as your only source of business, compliance, accounting, or transaction records.
8. Confidentiality and Feedback
Each party may receive non-public information from the other that is identified as confidential or should reasonably be understood as confidential. The receiving party will use the disclosing party's confidential information only to perform under these Terms and will protect it using at least reasonable care. This obligation does not apply to information that is publicly available without breach, already known without a duty of confidentiality, independently developed, or rightfully received from a third party without restriction.
If you provide feedback, suggestions, or ideas about the Services, you grant PawnVault a perpetual, irrevocable, worldwide, royalty-free right to use and incorporate that feedback without restriction or compensation.
9. Intellectual Property
PawnVault and its licensors retain all right, title, and interest in and to the Services, software, documentation, designs, trademarks, and all related intellectual-property rights. No rights are granted except those expressly stated in these Terms. You may not use PawnVault's name, logo, or trademarks without our prior written consent.
10. Suspension and Termination
We may suspend or terminate your access immediately if we reasonably believe you have violated these Terms, pose a security risk, use the Services unlawfully, fail to pay amounts due, or create risk or liability for PawnVault, our customers, or others. Either party may terminate as permitted by the applicable order form or written agreement.
Upon termination or expiration, your right to use the Services ends. We may retain and delete Customer Data in accordance with our Privacy Policy, applicable law, and any agreement with you. Provisions that by their nature should survive, including payment obligations, restrictions, confidentiality, disclaimers, limitations of liability, indemnification, and governing terms, will survive termination.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PAWNVAULT DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT. PAWNVAULT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT DATA, CALCULATIONS, REPORTS, COMPLIANCE OUTPUTS, OR THIRD-PARTY SERVICES WILL BE ACCURATE, COMPLETE, OR AVAILABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAWNVAULT AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAWNVAULT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO PAWNVAULT FOR THE SERVICES IN THE TWELVE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO LIABILITY. THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
13. Indemnification
You will defend, indemnify, and hold harmless PawnVault and its affiliates, licensors, service providers, officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to Customer Data, your use of the Services, your business operations or transactions, your violation of these Terms, your violation of applicable law, or your infringement or violation of another party's rights.
14. Governing Terms and Disputes
These Terms are governed by the law identified in your applicable written agreement or order form. If no such agreement identifies governing law, the laws of the jurisdiction in which the PawnVault entity contracting with you is organized will apply, without regard to conflict-of-law principles. Any dispute will be resolved in a court of competent jurisdiction in that jurisdiction, unless applicable law requires otherwise or the parties agree in writing to another forum.
Nothing in these Terms limits either party's right to seek equitable relief for actual or threatened misuse of intellectual property, confidential information, or the Services.
15. Changes to These Terms
We may update these Terms from time to time. We will post the updated Terms on this page and revise the “Last updated” date. Changes apply when posted unless a later effective date is stated. If a material change is required to be separately accepted by law or an applicable agreement, we will provide appropriate notice. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms to the extent permitted by law.
16. General
These Terms, together with the Privacy Policy and any applicable order form or written agreement, are the entire agreement between you and PawnVault regarding the Services. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, reorganization, or sale of assets. If any provision is unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. Notices may be provided through the Services, your account contact information, or other reasonable means.
